Terms & Conditions

1. Scope
These Terms apply to all quotations, offers and sales by ROXE DRINKS to business customers. Any buyer terms apply only if expressly accepted in writing.

2. Quotations & Orders
Quotations are non‑binding and subject to availability until order confirmation. We may substitute equivalent SKUs after buyer approval if an item becomes unavailable.

3. Prices & Payment
Prices are exclusive of taxes and duties unless stated otherwise. Payment terms and currency appear on the invoice. Late payment may incur interest and collection costs.

4. Delivery & Risk
Delivery terms are as agreed (e.g., Incoterms®). Risk in the goods passes per the agreed delivery term. Delivery dates are estimates; delays due to force majeure shall not constitute breach.

5. Documentation & Compliance
We supply standard export documents. Buyer is responsible for import permits and local compliance unless agreed otherwise.

6. Inspection & Claims
Buyer must inspect goods on receipt and notify us of any visible defects or shortages without undue delay and in any event within the agreed claim window. For hidden defects, notify promptly after discovery.

7. Returns
Returns require prior written consent. Goods must be in original condition and traceable.

8. Warranties
We warrant that goods conform to the agreed specifications at shipment. To the fullest extent permitted by law, all other warranties are excluded.

9. Liability
Our aggregate liability is limited to the invoiced value of the affected goods, excluding indirect or consequential losses, loss of profit or goodwill.

10. Retention of Title
Title remains with ROXE DRINKS until full payment is received.

11. Confidentiality
Commercial terms and non‑public information exchanged shall be kept confidential by both parties.

12. Termination
Either party may terminate for material breach after a reasonable cure period. Insolvency events may trigger immediate termination.

13. Anti‑bribery & Sanctions
Both parties shall comply with applicable anti‑corruption, sanctions and trade control laws.

14. Amendments
Changes to these Terms require written agreement.
